Main Areas of Expertise

Companies and Commercial Law; Mergers & Acquisitions; Technology: the Firm is a legal advisor to various companies in the private sector. The legal advice in this framework encompasses diverse commercial issues, such as establishing partnerships, companies, funds, joint ventures, providing opinions and handling transactions. The Firm deals with drafting agreements for the purchase of companies and investment in them, mergers, knowledge transfers, distribution, agencies, licenses for technology transfer, marketing, concessions,  etc. In addition, the Firm handles the legal affairs of leading international companies and their representatives in Israel.

Real estate: The Firm has one of the largest and most experienced real estate departments among law firms in Israel and is involved in a wide range of large and complex projects, including residential neighborhoods, office towers, shopping malls, hotels, industrial and science office parks, infrastructure projects, BOT projects and accompanying real estate transactions abroad. The Firm accompanies real estate projects throughout all stages: the acquisition of the rights to the land, including in particularly complex transactions, accompanying planning and licensing procedures, the construction, drawing up the agreements for the marketing of completed buildings, and more. The Firm also specializes in financing real estate transactions, representing entrepreneurs in purchasing land and financial support agreements, and representing several of the largest banks in Israel that finance real estate activities.

Urban renewal: the Firm accompanies various urban renewal projects throughout the country and has experience representing entrepreneurs, tenants, and accompanying banks in these projects. The Firm’s professional staff’s cumulative experience provides significant added value, legal and pragmatic, to tenants and entrepreneurs in urban renewal projects.

planning & zoning: the Firm has a unique expertise in planning & zoning. The Firm accompanies first-class entrepreneurs in the initiation of city building plans for housing, employment, and hotels all over the country, from the stage of drafting the strategies to the location of issuing construction permits, and includes representation in the various planning committees, at the local authorities and in the framework of legal proceedings in the courts.

Capital markets and Banking: the Firm has extensive experience in public and private offerings and representing issuers, including banks and central entities in the Israeli economy. In addition, the Firm has a unique specialization in legal advice concerning the regulation of managing a stock exchange in Israel. This framework accompanied the dedicated legislation procedure to change the structure of the stock exchange and its implementation in the Tel Aviv Stock Exchange. The Firm even set another legal and business precedent when in 2019, it represented the stock exchange in its first IPO.

The Firm deals with transactions such as mergers and acquisitions, private placements and financing agreements, prospectuses, compensation plans, consulting on corporate governance issues for public companies, and representation before regulatory bodies. In the banking field, the Firm provides services to local and foreign banks, institutions, and financial entities in all areas of banking activity. Litigation: The Firm represents significant clients from Israel and abroad who apply for specific treatment in the litigation department in its unique areas of expertise. The Firm specializes in complex litigation in the fields of civil and commercial law, accompanying and managing international litigation, banking, securities, real estate, Infrastructure and construction, companies, planning, and construction law, and business licensing, including class and derivative suits, with significant financial volumes, with particular expertise in complex class and derivative claims in the area’s banking and securities. In addition, the Firm handles all facets of administrative petitions and tender laws. The partners of the litigation department serve as mediators and arbitrators in litigation proceedings in various civil and commercial fields and conduct both lectures and seminars in the areas of the Firm’s expertise.

Insolvency: The Firm has extensive experience managing receivership procedures, freezing procedures, liquidating companies, rescuing and operating companies in difficulties, and representing them in court as part of insolvency procedures. In addition, the Firm specializes in managing liquidation procedures of collapsed banking institutions. For example, since 2002, Attorney Uri Bregman has served as an exceptional manager of the Bank for Commerce Ltd. (in liquidation).

The Firm has extensive expertise in everything related to the revival of companies and the formation of debt settlements. Under this framework it represents both public and private companies, bondholders and trustees. The Firm has handled a series of highly publicized debt settlements, among them the most significant debt settlement held in the Israeli economy, with a total scope of approximately NIS 7.5 billion.

Labor law: the Firm represents in almost every possible employment sector, in all issues that regularly arise with their employees, including workers’ rights, social rights, dismissals, and resignations, holding hearings, preparing employment contracts, retirement agreements, letters of commitment, legal documents, consulting and setting up a complaint investigation system regarding sexual harassment, and implementing regulatory compliance systems.

Privacy and data protection: the Firm has a unique practice that provides comprehensive assistance to local and international clients in privacy and information security. Its services include implementing compliance programs to comply with privacy protection laws in Israel under GDPR (General Data Protection Regulation) and more.
