Departments
Commercial – The Department, headed by Adv. Moran Meiri, provides ongoing legal services to Israeli and international public and private companies, government-owned companies and municipal corporations. The Department advises its clients on corporate law, corporate governance, board of director and directors’ compensation, represents them in mergers and acquisitions, investment and financing agreements, and provides legal advice and support to international companies and foreign residents conducting business activities in Israel and abroad.
The Department’s practical experience combines high levels of professional and legal expertise with a thorough understanding of the business environment of its clients. MMW’s clients includes airlines, insurance companies and agencies, biomed and medical device companies, energy companies, consulting firms and security companies along with leisure and entertainment companies, clothing companies, media, press and advertising agencies.
High Tech – The Department specializes in representing local and international clients operating in the high-tech industry, including founders, corporations, investors, lenders and purchasers. The Department provides its clients with legal advice on a variety of issues, including software, internet, biotech, life science, and medical devices.
Adv. Keren Wacht, who heads the Department, has extensive experience in this field, including in representing both buyers and sellers in acquisitions, and corporate clients in negotiating financing transactions. The Department’s staff has vast experience in drafting and negotiating complex commercial agreements of all types, including license and franchise agreements, distribution agreements, and agreements related to medical products and trials as well as drugs and medical device development and licensing. Insolvency & Banking – For many years MMW has been ranked at the top in the insolvency field, has been involved in the most significant insolvency proceedings conducted in Israel over the past few years, and Adv. Ronen Matry, who heads the Department, is considered one of Israel’s most appreciated attorneys in the field of insolvency and banking. The Department’s professional, skilled and experienced team of attorneys represents corporate clients in insolvency proceedings from the finance, real estate, construction, infrastructure, communication, retail, industrial and high-tech industries in high-profile insolvency cases. MMW has a unique expertise in advising and assisting companies and boards of directors in an insolvent environment, and handling complex creditor settlements, stays-of-proceedings and insolvency proceedings with international aspects. Capital Markets – The Department, headed by Dr. Eyal Geva, specializes in raising equity capital on local and international stock exchanges, private placements and compliance with reporting and corporate governance obligations. The Department has a unique expertise in advising listed companies on issues related to securities and corporate law, assisting boards of directors and committees, advising on controlling shareholder transactions, mergers, officer compensation plans, administrative enforcement programs, and representing clients before regulators. Competition & Antitrust – The Department, headed by Adv. Asaf Shubinsky, provides ongoing representation to government ministries, statutory bodies, government companies and leading private and public companies on matters related to competition, antitrust and market concentration laws.
Within this framework, the Department provides legal advice, including complex legal opinions, assistance in commercial transactions and collaborations, and specializes in representing clients before the Competition Authority, the Competition Tribunal and the Supreme Court, including in class actions, private lawsuits and criminal proceedings brought under the Economic Competition Law and related laws.
Litigation – We handle all types of litigation: commercial and civil litigation, control struggles between shareholders in both public and privately held companies (including discrimination claims), and capital market litigation, and represents companies, officers and controlling shareholders in class and derivative actions as well as complex real estate litigation.
The Department represents, among others, multinational corporations in complex actions, as well as government companies, statutory corporations, and public and private companies in cases related to administrative law, public procurement law, administrative petitions, public procurement proceedings and large-scale commercial disputes. The Department has expertise in handling infrastructure construction claims and representing defendants, including public and government bodies, in class action proceedings.
Real Estate – Headed by Adv. Kitty Bruner and Adv. Nir Edri, the Department has extensive experience in advising on complex real estate transactions, representing a broad range of clients, including developers, sellers and buyers. Within this framework, MMW represents institutional investors and real estate companies in sales and acquisitions of income-producing properties, developers in residential and commercial projects, parties to National Outline Plan projects (“Tama 38”) and land owners. Sport – The Department, headed by Adv.
