Project Finance, Energy & Infrastructures: As Israel’s leading firm in Project Finance, YL has been involved in numerous large-scale, national infrastructure projects, including highways, mass transit projects, desalination plants and energy projects. Among other, YL has advised the owner of the 300MW Gilboa pumped storage facility, Israel’s first pumped storage project; the lenders of a 440MW power plant in Mishor Rotem; the lenders of a 121MW solar thermal power plant in Ashalim; and the lenders of the Yam Tethys natural gas reservoir located offshore Israel. YL has also represented the Government of Israel in connection with the construction and operation of the Carmel Tunnels in Haifa and the lenders of the northern section of the Cross Israel Highway (Sections 3 and 7).
Antitrust: YL has one of Israel’s most highly developed antitrust practices. The Firm provides ongoing counsel to leading public and private companies as well as government entities and governmental companies, such as Elco Holdings, Clalit Health Services, LG and Partner Communications Company in every aspect of the antitrust, competition and concentration laws.
YL specializes in representation of its clients before the Antitrust Authority, the Antitrust Tribunal and the Supreme Court. YL also specializes in representation of its clients in class actions, civil claims and criminal proceedings pursuant to the Antitrust Law and regulations. Furthermore, YL was involved in the enactment of the Law for Promotion of Competition and Reduction of Concentration, and provides on-going legal advice to statutory bodies and government companies regarding its implementation. YL’s antitrust team includes the former head of the Antitrust Tribunal and a de-facto Supreme Court Justice, Mr. Jonathan Adiel, who acts as a consultant to the Firm.
Tenders and Administrative Law: YL counsels many private and public entities, including statutory corporations, government offices, municipalities and municipal corporations such as the Israel Airports Authority, the Water Authority, Netivei Israel, the Ministry of Defense, Yuvalim Ashdod, Tel Aviv University, Clalit Health Services, Inter-University Computing Center, Kiryat Bialik Municipality, Partner Communications Company, YSB Group, etc. The Firm has extensive experience in counseling tender committees in tender processes, domestic and international. In addition, YL specializes in tender law regulation and corporate governance, and is involved in preparing legislative guidelines regarding the amendments to the Mandatory Tender Regulations.
Commercial Law & Transactions: YL has extensive experience in handling the most complicated local and cross-border commercial matters, including complex transactions such as setting up joint ventures and start-ups, capital ventures, M&As and acting as on-going counsel for public and private companies, local and international firms. YL has represented Elco Holdings and its subsidiaries in a long list of transactions including the acquisitions of F.K. Generators, Hofrey HaSharon, Tzom Elevators, Mahsanei Hashmal, Ace (including its subsequent sale to Kedma Capital), the Israeli franchisees of Daikin Industries and Huwawei Mobile, and the purchase of shares of F.K. Generators. Furthermore, YL represented the shareholders of DSNR in the sale of their shares in the company and Elco Contracting and Services in the acquisition of Compax International (93) and the Afsek Group operation. YL also represents the Tradomatics Group, a leading algo-trading firm in various international transactions. YL also represented the buyers of the controlling stake in Modgal Metal. In addition, YL regularly advises the YSB Group in various transactions.
Litigation & Class Actions: YL’s litigation expertise encompasses commercial litigation, tenders law, class-actions and administrative petitions relating to planning and construction, torts, labor law, consumer law and telecom matters, in all courts and tribunals. YL represents international conglomerates in cross border litigation cases, including GE, in one of Israel’s largest legal claims amounting to billions of NIS; the Israel Ports Authority in procedures pertaining to recent reforms in Israel’s seaports; Netivey Israel in arbitration proceedings amounting to billions of NIS; the Israel Airport Authority in various litigation cases with respect to the Ben-Gurion Airport 2000 project, valued at hundreds of millions of NIS; government entities, statutory corporations, governmental corporations and private entities in administrative procedures and tenders, high profile class actions and commercial disputes valued at hundreds of millions of NIS.
Planning & Zoning: YL has outstanding experience in legal matters relating to planning and zoning and construction including commercial public and residential real estate. Within the framework of its activities, YL acquired significant expertise in land appropriation totaling hundreds of kilometers, accompanying municipal planning, registration of land consolidation, handling depreciation claims amounting to billions of NIS and representing clients before the planning authorities and the administrative courts and tribunals.
